2. Intellectual Property Rights

2.2 Trademarks

Workscaler Inc., Resumas, and all associated names, logos, product and service names, designs, and slogans are trademarks or service marks of Workscaler Inc. (“Marks”). You may not use the Marks without prior written permission. Nothing in the Services grants any license to use the Marks, whether by implication, estoppel, or otherwise.

You may reference Workscaler Inc. or the Services in a descriptive manner (e.g., “I used Resumas”) but may not suggest any endorsement, sponsorship, or affiliation. You may not register domain names, social media handles, or online accounts that incorporate the Marks or confusingly similar terms.

2.3 User‑Generated Content

If you submit, upload, post, or otherwise provide content through the Services (“User Content”), you grant Workscaler Inc. a non‑exclusive, worldwide, royalty‑free, sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content as reasonably necessary to operate, improve, and promote the Services.

You represent and warrant that you own or have the necessary rights to your User Content, and that your User Content does not infringe, misappropriate, or violate any third‑party rights or any law. Workscaler Inc. may remove or restrict access to any User Content at its discretion. You are solely responsible for your User Content and for any consequences of sharing it.

You may not submit User Content that is unlawful, defamatory, harassing, hateful, obscene, deceptive, infringing, or that contains viruses or malicious code.

3. Nature of the Services and Career Advice

3.2 AI‑Generated Content Disclaimer

Information, suggestions, and recommendations generated by the Services (including AI outputs) are provided for general informational and educational purposes only. AI‑generated content is not a substitute for professional judgment, and cannot account for all facts, laws, or nuances relevant to your situation. AI may occasionally produce incorrect, incomplete, or outdated information.

The Services do not provide legal, tax, financial, medical, mental‑health, or other regulated professional advice, and no attorney‑client, advisor‑client, or similar relationship is created by your use of the Services. You are solely responsible for verifying the accuracy and suitability of AI‑generated content and for consulting qualified professionals before relying on it for decisions.

3.3 No Guarantee of Results

The Services are intended to support your career efforts but do not guarantee specific outcomes such as job offers, interviews, promotions, salary increases, or other employment results. Many factors outside Workscaler Inc.’s control affect employment outcomes, including employer decisions, market conditions, your qualifications, and your independent efforts.

By using the Services, you acknowledge and accept that results will vary and that you are responsible for your own job search, career decisions, and outcomes.

3.4 Human Career Coaching and Advice

Based on your plan and subscription, you may receive career advice, coaching, or guidance from human career coaches or other representatives of Workscaler Inc. as part of the Services. Any such human‑provided career advice is based on the information you choose to share (including your resume, profile data, and responses to questionnaires or assessments), together with the coach’s understanding of current job‑market conditions and typical hiring practices. This advice is intended to help you navigate options and strategies toward your stated goals, but it remains general, educational, and advisory in nature and may not capture all factors relevant to your specific situation. Human career coaching and guidance do not guarantee that you will receive an interview, job offer, promotion, or any particular career outcome, and you remain solely responsible for your job search decisions and results.

4. Disclaimers and Limitations of Liability

4.2 No Professional Advice

Any information or content provided through the Services—whether generated by AI or provided by human coaches—is general information, not professional advice. You should not rely on the Services as a substitute for consultation with qualified professionals (such as attorneys, accountants, financial advisors, or licensed career counselors) who can consider your specific circumstances.

4.3 AI and Advisory Limitations

You understand that both AI outputs and human‑provided guidance may be incomplete, biased, or inaccurate, and may not reflect current job markets or legal requirements in your jurisdiction. Neither AI tools nor human coaches can replace your own judgment or the advice of qualified professionals. You remain solely responsible for how you use any outputs or advice, including information you choose to submit to employers or third parties.

4.4 Limitation of Liability

To the fullest extent permitted by law, in no event will Workscaler Inc., its affiliates, or their respective officers, directors, employees, agents, or licensors be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or opportunities, arising out of or in connection with your use of, or inability to use, the Services (including any AI‑generated content or human‑provided career advice), even if advised of the possibility of such damages.

To the extent any liability cannot be excluded, the total aggregate liability of Workscaler Inc. and its affiliates for any claim arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to Workscaler Inc. for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations; in that case, these limitations apply to the maximum extent permitted.

4.5 Assumption of Risk

You use the Services at your own risk. You agree that Workscaler Inc. is not responsible for your employment decisions, career outcomes, or financial consequences arising from your use of AI‑generated content or human‑provided career advice from the Services.

5. Data, Privacy, and Security

Your use of the Services is also governed by our Privacy Policy and our California Privacy Policy, which describe how we collect, use, and protect personal information. By using the Services, you consent to those practices.

Workscaler Inc. uses reasonable technical and organizational measures to protect your data but cannot guarantee absolute security. You acknowledge that no system is completely secure and that you provide information at your own risk. For more detail, see our Privacy Policy.

6. Third‑Party Services and Links

The Services may contain links to or integrations with third‑party websites, tools, or services. Workscaler Inc. does not control and is not responsible for third‑party content, terms, or privacy practices. Accessing third‑party sites is at your own risk and subject to those sites’ terms and policies.

Links to the Services may not imply endorsement. Workscaler Inc. may restrict or revoke linking or scraping activities at any time. You may not frame the Services or use automated tools to extract Content without express written permission.

7. User Conduct

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws. You must not:

• Use the Services for unlawful, fraudulent, or harmful purposes
• Interfere with or disrupt the operation or security of the Services
• Infringe any intellectual property, privacy, or other rights of others
• Introduce viruses, malware, or malicious code
• Use bots, scrapers, or automated tools to access the Services without authorization
• Misrepresent your identity, qualifications, or experience using AI‑generated content
• Attempt to reverse engineer, decompile, or derive source code from the Services

Workscaler Inc. may suspend or terminate your access for any violation of these Terms or suspected misuse.

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at support@resumas.com if you suspect unauthorized access.

8. Fees, Subscriptions, and Billing

If you subscribe to paid Services, you agree to pay all applicable fees and taxes as described at the point of purchase or in your account. Fees are generally non‑refundable except where required by law or as explicitly stated otherwise.

Subscriptions may renew automatically unless you cancel before the renewal date. You can cancel in your account settings or by contacting support@resumas.com; cancellation will take effect at the end of the current billing period. Workscaler Inc. may change prices with prior notice; if you do not agree to new prices, you must cancel before they take effect.

9. Termination

You may stop using the Services at any time and may request account closure by contacting support@resumas.com or using any in‑product account closure tools.

Workscaler Inc. may suspend or terminate your access to the Services at any time, with or without notice, including for violation of these Terms, non‑payment, or suspected fraud or abuse. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution) will remain in effect.

Workscaler Inc. may retain and use data after termination as permitted or required by law and as described in the applicable Privacy Policy.

10. Indemnification

You agree to indemnify, defend, and hold harmless Workscaler Inc., its affiliates, and their officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the Services, (b) your User Content, (c) your violation of these Terms or any law, or (d) your misuse of AI‑generated or other content from the Services.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any disputes arising out of or relating to these Terms or the Services will be brought exclusively in state or federal courts located in California, and you consent to their jurisdiction and venue. If arbitration is elected as described in the detailed dispute section of the original Terms, such arbitration will be conducted under the applicable JAMS rules in California, and the arbitrator’s decision will be binding, subject to limited review as allowed by law.

12. International Users

The Services are operated from the United States and may not be appropriate or available in all jurisdictions. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. Workscaler Inc. makes no representation that the Services are lawful or compliant in any specific non‑U.S. jurisdiction.

You also agree to comply with any applicable U.S. export control and sanctions laws in connection with your use of the Services.

13. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable. These Terms, together with our Privacy Policy and any applicable supplements or product‑specific terms, constitute the entire agreement between you and Workscaler Inc. regarding the Services.

No waiver of any term will be deemed a further or continuing waiver of that term or any other term. You may not assign these Terms without Workscaler Inc.’s prior written consent; Workscaler Inc. may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets.

14. DMCA and Copyright

If you believe your copyright has been infringed on the Services, you may send a written notice that meets the requirements of the Digital Millennium Copyright Act (DMCA) to Workscaler Inc.’s designated agent at the contact information below. We may remove or disable access to the allegedly infringing material and take other steps consistent with the DMCA.

15. California‑Specific Information
